Terms of Service

These Terms govern your access to and use of Billinox. They cover subscriptions, acceptable use, intellectual property, liability, and termination.

# 1. Agreement

These Terms of Service ("Terms") form a binding agreement between you and Billinox, Inc. ("Billinox") governing your access to and use of the Billinox apps, websites, and APIs (the "Service"). By creating an account or using the Service, you accept these Terms.

# 2. Eligibility

You must be at least 18 years old and able to enter into a binding contract. If you use Billinox on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

# 3. Account Responsibilities

  • Provide accurate, current, and complete information.
  • Keep your password and recovery codes confidential.
  • Notify us promptly of any unauthorized access.
  • You are responsible for all activity that occurs under your account.

# 4. Acceptable Use

You agree to use Billinox only for lawful business purposes. You may not:

  • Use the Service for fraudulent, deceptive, or illegal invoicing.
  • Attempt to gain unauthorized access to other accounts or systems.
  • Reverse engineer, decompile, or scrape the Service.
  • Distribute malware or interfere with service operation.
  • Resell or sublicense the Service without written permission.

# 5. Intellectual Property

Billinox and its licensors own all rights, title, and interest in the Service, including software, branding, and documentation. You retain ownership of your business data. You grant us a limited license to host, transmit, and back up your content solely to operate the Service for you.

# 6. Subscriptions & Billing

  • Paid plans renew automatically until cancelled.
  • Fees are billed in advance and are non-refundable except where required by law.
  • We may change pricing with at least 30 days' notice.
  • Taxes are your responsibility unless we collect them on your behalf.

# 7. Service Availability

We work hard to keep Billinox available, but the Service is provided on an "as available" basis. Maintenance windows, third-party dependencies, or your own connectivity may affect availability. Offline functionality is designed to keep you working during outages.

To the maximum extent permitted by law, Billinox's aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid us in the 12 months preceding the claim or (b) USD 100. We are not liable for indirect, incidental, special, consequential, or punitive damages.

# 10. Indemnification

You agree to defend and indemnify Billinox against claims arising from your misuse of the Service, your violation of these Terms, or your infringement of third-party rights.

# 11. Termination

You may cancel at any time from your account settings. We may suspend or terminate access if you breach these Terms, create risk for us or other users, or fail to pay. On termination you can export your data for 30 days.

# 12. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws. Disputes will be resolved by binding arbitration in Delaware, except that either party may seek injunctive relief in court. Consumers in the EU and Nigeria retain mandatory rights under their local law.

# 13. Changes to these Terms

We may update these Terms periodically. Material updates will be announced in-app and by email. Continued use of the Service after changes take effect constitutes acceptance.
